I use a p4 2.4c (o/c'd to 3.0) at home and a Athlon 2800+ at work. ( both have 1gb of PC3200 RAM)
I do a fair amount of multitasking on both and can duplicate the exact same things.

what is your ram voltage ??? most ram will handle 2.55 to 2.95 and ive had similar issues and its seem that the board just cant put out the voltage for all the dimms being full of RAM to be stable so i got a 500 watt + PSU and its all peachy now :)
only thing else i see that may be a problem for u is because ur o/c'n and it sux more juice your ...

may not have an adiquate 12v rail i would sudgest upgrading to atleast a 400 to 500 watt PSU.

do you know what some of your voltages are... while its running ... do they fluctuate alot ?
so lets see ... um memory at 270fsb with a 5:4 is runnnig at 432 mhz .. what voltage do u have your memory at? What voltage do u have your cpu at?
as far as i know a computer takes more juice when...
what is your fsb speed ......... about 245mhz?? if it was at 250 with a 5:4 ur ram would be running at it's rated 400mhz otherwise u r at like 392 mhz ram speed currently.
also what are your temps for cpu....mobo.... etc.....normal and at full load

I have a very similar setup....... i have the P4 2.4c & asus P4P800-E deluxe.......i'm running it at a 250fsb (~3015 mhz cpu) with my memory set at 320mhz (5:4) so it is actually running at 400mhz (2x200 DDR Ram) .......... i have GeiL golden dragon PC3200 ram timings are 2-3-3-6 ..... my Ram...
I'd Reccomend the ASUS P4P800 mobo
2.4c or 2.6c P4's
either PC3500 or CP3700 - theres lots of good brands that up to you
then get a good video card
PSU? im using a Enermax 430watt
But you can always go to something better just make sure that you know that more wattage isnt always better...
Keep the cpu - (good cpu) - dont down grade
replace motherboard (maybe $100 or of can return it) get a ASUS P4P800 (P4C800- 875 chipset) or a IC7 Max3 or something
I this a pretty good O/C then with a "D1" chip or does it make a difference???
