Are you using a manufacturer provided modem driver or just one built into W2K? Usually an OEM driver will tell you the facts, at least it did for W9X, but I haven't used a modem since well before W2K came out :D
Yeah, check service pack, also check to make sure your OS drive isn't low on space and also try increasing the max registry size in your System applet. Check your event viewer as well to make sure nothing else is triggering this.
