I've seen the ram do that before but only when the ram was bad. I'll bet that is not the case, but you never know. Can you try it in another system? What Compaq system do you have?
250 watts should be OK, but it also depends on what else you have in your system (# of HDs, # of CD-ROM/RW, # of add in cards, ect. ect.) and how much you are overclocking it.
I believe you could upgrade to a K6-2 400Mhz easy. All you do is set the settings to 2x66Mhz FSB. I know it sounds crazy but the 2x is the same as 6x with the K6-2. With that old MB this maybe is the best you can do and still be stable. You can get a K6-2 450 at TigerDirect.com for $45 + 10...
