DFI NF3 boot problems....HELP!

I had a system running a K8VSE Dlx quite stable at 220MHz FSB and all equipment in the new system but I cannot seem to get any stability with this motherboard.
I have tried different RAM configurations i.e. 1-2 sticks = pc2100,3500, and 4000 but the bios seems to lose my 300GB Maxtor 16MB SATA then reboots and finds it on next boot which will start Windows but freeze or go tremendously slow.
I am running a WD Raptor 74GB as primary and the Maxtor on the 2nd controller. I have also tried the HDDs on the 3-4 controllers to no avail.
I have seen many issues with this board but also more successes. I am not fainthearted in my trials but would like some guidance as to what is next. I did purchase this board with the goal of overclocking the system to an average oc speed. 2500-2600MHz

Enermax 565W Dual Rail PSU
Micron, OCZ, and Geil RAM either 256/512MB per stick
Thermaltake Cooler
WD Raptor 74GB
Maxtor DaimondMax 10 300GB Sata
ATI Radeon 9800pro 256MB w/Silencer
BenQ 822 DL DVD burner
Antec P-160 case

I have tried all hardware at stock/default settings and many multiplier/FSB settings as well.

Any info would be VERY appreciated.

Have you run memtest86? (15+ passes, with zero errors?) How do have power management setup? (s1, s1+s3, s3?)

I meant a 754 3200+ unsure of core (confusing with my other processor.) No, I haven't done memtest and my power mgmt is s1. I will doing memtest now and try changing the power mgmt as I write this.
