I am not so sure it will be a big improvement if you are only looking at cpu performance.
Check here: http://www.anandtech.com/bench/CPU/2

Look at sysmark 2007 overall. The i5 /760 is only 10% faster. That is not significant.

You will see a faster response time only if you are running software that supports multi-processing.

I am running an e8400 overclocked to 3.8 GHz and have been wondering if I should upgrade to an 15/760.

I am not sure it will be worth it. It would cost me about $500 for a new cpu + system board + memory.

Sysmark's overall score is a pretty terrible indicator of CPU performance because Sysmark is supposed to be an all-around system benchmark. When you take those largely IO-bound tasks and use them to compare two systems have the same storage subsystem, of course you are going to get similar results.

Now, an E8400 is no slouch, but if you use any sort of multithreaded apps (more and more common these days), you will see a huge improvement.

If budget were at all a concern (which does not appear to be the case), I think you'd be vastly better off buying the video card & win7 and holding tight on everything else for (at least) one more generation of cpu's. Check that, I'd recommend buying a speedy SSD boot drive for your older rig (90GB for $143?). Then again, you didn't give us any clue on what you're doing with the computer, so it's hard to say.
