Problems booting up in Win2k

Ok, here's my hardware:
Abit KT7a-R
2xIBM 75GXP 30gig in Raid 0
Voodoo 3 2000 PCI
Intel Pro/100+ Management NIC
Acoustic Edge soundcard

The problem is that when the NIC and soundcard are in at the same time, 2K will not load. It will post and my bios and raid bios will finish loading up but when 2K is suppose to load, it just hangs on a black screen. If I remove either the NIC or soundcard, everything works fine. I have already tried moving the cards to various slots and still no go. I'm thinking it's an IRQ problem but I have no idea on how to fix this? Can anyone help asap plz?

go into your bios, and assign each slot an irq. tell if you do not have a plug n pray os....

My IRQ's are used as follow:
9 ACPI
14 Primary IDE
7 USB
7 NIC
7 Voodoo
7 Highpoint RAID
8 CMOS clock
13 Numeric data
6 Floppy
4 Com 1
3 Com 2

I don't get it, I still have IRQ's left over... I have no clue why this won't work. I have a SB Live! card too and that has the same problem as my Acoustic. The only way I can get sound out of my system and have my NIC in right now is to use a PnP SB16 ISA which doesn't seem to conflict with my devices, but I don't want to go that route.
