xp home upgrade and win98

Here's some questions for thos who have done an XP Home upgrade on top of Win98SE:

1. Is the Win98 serial # relevant and tied to the XP upgrade install, or does it just have to be present. IE. If I have the same Win98 copy running on 2 home machines (ya, I know, not suppose to), will that prevent me from upgrading both with separate XP HOME upgrades?

2. Is it possible to convert your existing FAT32 Win98 drive over to NTFS during the XP upgrade?

It just needs to see either the existing 98 install, it doesn't need the key info. Or if you want to start from a blank drive, boot from the XP cd and when it asks, you just put in a previous OS (95/98/ME) cd.

I believe that you have the option to convert on the install or you can do it after the install is done. Either way, it is very slow with the utility from microsoft. Partition Magic would do it later also.
